TERMS AND CONDITIONS OF USE

Introduction

These terms and conditions (“Terms”) apply between you, the user of the www.suits-international.com website (the “Platform”), including the internet and mobile versions of the Platform, and its mobile application, and Global Networking LTD, trading as 'Suits International', the operator of the Platform, (further referred as “Suits”, “we”, “us”, and “our”).
Please read the Terms carefully, as they affect your legal rights. Users’ (as defined below) access to and use of the services, content, or functionalities offered on the Platform is subject to acceptance of and compliance with these Terms. These Terms apply to all visitors, users and others who wish to access the Platform and use the Services (as defined below). By accessing or using the Services, the User agrees to be bound by these Terms and to receive all communications and notices from us electronically. Your agreement to comply with and be bound by the Terms is deemed to occur upon your first use of the Platform. If you disagree to be bound by these Terms, you should stop using the Platform immediately.
Notwithstanding anything contained herein, if User breaches these Terms, we reserve the right to deny or revoke the User’s access to the Platform and the Services immediately, take any legal or other action against User, and refer the matter to the appropriate authorities.
You must be at least 18 years of age to use this Platform. By using the Platform and agreeing to these terms and conditions, you represent and warrant that you are at least 18 years of age.

Definitions

Capitalised terms in these Terms are defined as follows:

“Account” means the account created on the Platform through Onboarding to access or use the Services in accordance with the applicable terms.

“Affiliate” shall mean any entity or entities that, with reference to a Party, is directly or indirectly: (a) controlled by, (b) under common control with, or (c) controlling the subject Party. For the purposes of this definition, “control” when used with respect to any entity means the power to direct the management and policies of such person directly or indirectly, whether through the ownership of voting rights and/or securities, by contract, or otherwise; and the terms “controlling” and “controlled” shall be construed accordingly.

“Basic Individual Profile” shall mean the professional profile of the Member automatically created by the Platform based on the information provided by the User upon Onboarding.

“Confidential Information” refers to any tangible and intangible information obtained or disclosed, including but not limited to all documents, data, software, reports, statements, any business or customer information, trade secrets, pricing, software, designs, source code, inventions, ideas, know-how, product plans, specifications, intellectual property, information, audit and security reports, customer information, training and consulting materials, company plans, business policies, financial information, employee information, marketing information, and any other information that has value because it is not generally known and that its owner uses reasonable efforts to protect and all materials derived from any of the above, and any other information deemed by Suits to be confidential.

“Cookie Policy” shall mean the cookie policy of Suits, as updated from time to time, available on the Platform, and incorporated by reference herein.

“Full Individual Profile” shall mean the professional profile of the Member, with further information about the Member added at the Member’s own discretion after Onboarding.

“Individual Profile” shall mean either a Basic Individual Profile or a Full Individual Profile accessible through the Platform.

“Members” are Users who subscribed to access the Platform and use its Services by completing Onboarding in the Platform.

“Onboarding” shall mean the process of (1) provision of the mandatory information by a User to the Platform necessary for creation of the Basic Individual Profile, (2) payment by the User of the Subscription Fee.

“Privacy Policy” shall mean the privacy policy of Suits, as updated from time to time, available on the Platform, and incorporated by reference herein.

“Services” refers to any online facilities, tools, services or information that Suits makes available through the Platform, including but not limited to (1) creating a digital professional profile of the Member, (2) using a search and filter engine enabling the search of Members, and (3) any other related or incidental services connected therewith which are available or will be added to the Platform in the future.

“Subscription” means an annual subscription to the Platform.

“Subscription Fee” means the sum of GBP 170 paid upon Onboarding for Subscription to the Platform.

“Subscription Term” means the period ending upon expiration of 365 days from the day of completion of Onboarding.

“User” or “Users” means any party that accesses the Platform and is not either (i) employed by Suits and acting in the course of their employment or (ii) engaged as a consultant or otherwise providing services to Suits and accessing the Platform in connection with the provision of such services.

Overview of the main functionality of the Platform

The Platform is an online interactive tool that enables (1) professionals who have subscribed to the Platform to create their professional profiles, making them searchable by Users of the Platform via the search/filter tool built into the Platform, and (2) those in need of professional advice in legal and related sectors to search for relevant professionals worldwide using the same search/filter tool.
Only Users who have fully completed Onboarding will be able (1) to create a professional profile on the Platform, and (2) to access the Full Individual Profiles of professionals registered on the Platform.
Users who have fully completed onboarding can choose to use a Basic Individual Profile, which is automatically generated by the Platform based on the information provided during onboarding, or create a Full Individual Profile by adding more details. The additional information supplied will not be searchable.
Users who do not complete the onboarding process will be unable to create an individual profile on the platform, but they can still use the Platform's search and filter tools. Using the search tool, they will only be able to view Basic Individual Profiles of registered professionals.

Eligibility

Suits makes the Platform and Services available to Users who are 18 (eighteen) years of age or older and have reached the age of majority as required under their local jurisdiction’s laws. If a User is below the age of 18 (eighteen) or below the applicable age of majority, they may not create an Account or use the Services. Accounts created by “bots” or other automated methods are not permitted. Each User may maintain only one Account at a time. By opening an Account and using the Services, the User represents and warrants that they comply with all of the foregoing eligibility requirements stated above. If a User does not meet these requirements, the User may not access the Platform, open an Account, or use any Services.
Suits reserves the right to deactivate an Account and refuse to provide the Services to anyone for any reason at any time if it is discovered or suspected that such User does not fulfil the requirements outlined in this Section. Suits may also suspend or terminate a User’s access or Account to the Services without prior notice.

Intellectual Property and Acceptable Use

All content included on the Platform, unless uploaded by Users, is the property of Suits, our affiliates or other relevant third parties. In these Terms, Content means any text, graphics, images, audio, video, software, data compilations, page layout, underlying code and software and any other form of information capable of being stored in a computer that appears on or forms part of this Platform, including any such content uploaded by Users. By continuing to use the Platform, you acknowledge that such Content is protected by copyright, trademarks, database rights and other intellectual property rights. Nothing on the Platform shall be construed as granting, by implication, estoppel, or otherwise, any license or right to use any trademark, logo or service mark displayed on the site without the owner's prior written permission.
You may, for your business use, do the following:
1. retrieve, display and view the Content on a device.
2. download and store the Content in electronic form on a disk (but not on any server or other storage device connected to a network).
3. print a copy of the Content.
You acknowledge that you are responsible for any Content you may submit via the Platform, including the legality, reliability, appropriateness, originality and copyright of any such Content. You may not upload to, distribute or otherwise publish through the Platform any Content that (i) is confidential, proprietary, false, fraudulent, libellous, defamatory, obscene, threatening, invasive of privacy or publicity rights, infringing on intellectual property rights, abusive, illegal or otherwise objectionable; (ii) may constitute or encourage a criminal offence, violate the rights of any party or otherwise give rise to liability or violate any law; or (iii) may contain software viruses, political campaigning, chain letters, mass mailings, or any form of "spam". You may not use a false email address or other identifying information, impersonate any person or entity or otherwise mislead as to the origin of any content. You may not upload commercial content onto the Platform unless such placement of commercial and advertising material is carried out in accordance with the Terms and upon consent of Suits.
You represent and warrant that you own or otherwise control all the rights to the Content you post; that the Content is accurate; that use of the Content you supply does not violate any provision of these terms and conditions and will not cause injury to any person; and that you will indemnify Suits for all claims resulting from Content you supply.
Material displayed on the site may not be copied, reproduced, or republished without the prior written permission of Suits.

Onboarding in the Platform

You must complete all sections of the onboarding form to finish the onboarding process. The details you provide during onboarding will be used to create your searchable Basic Individual Profile automatically.
You must ensure that the details you provide during onboarding or at any other time are correct, accurate, non-misleading, and complete.
You must inform us immediately of any changes to the information you provided when onboarding by updating your personal details, so we can communicate with you effectively.
We may suspend or cancel your registration immediately for any reason or if you breach these terms and conditions.
It is your duty to update promptly the information in your Basic Individual Profile or Full Individual Profile whenever any changes occur.

Payment of the fees

You agree to pay the Subscription Fee in consideration for us providing the Service.
The Subscription Fee covers the entire Subscription Term. Any change to the annual Subscription Fee can only occur after the end of the current Subscription Term and in relation to a new Subscription Term.
The Services will not be available until the Subscription Fee has been paid in full. The Subscription Fee is considered a one-time payment for access to the Services for the Subscription Term.
The Subscription Fee is non-refundable, even if the User chooses to end their access to the Platform before the Subscription Term expires.
Following the expiration of the Subscription Term, the User may extend access to the Services, subject to the User paying the new Subscription Fee for the subsequent Subscription Term.
All sums payable by a User under this Agreement shall be paid in full without any set-off, deduction, counterclaim or withholding of any kind.
Both the User and Suits may cancel a Subscription within 14 days of the payment date of the Subscription Fee. In such cases, the User will be entitled to a refund of the relevant Subscription Fee.
We reserve the right, upon the expiry of the Subscription Term, to immediately suspend the provision of the Services if any amounts payable by a User to us remain unpaid until all outstanding sums are settled in full.

Your obligations

You warrant, agree and undertake:
1. that all information you provide during Onboarding and at any other time is true, accurate, and correct, and that you will update your profile without delay when changes occur and the published information becomes outdated;
2. if requested by us or at your own initiative, to correct any inaccuracies, mistakes or errors in your Basic Individual Profile or Full Individual Profile within 7 days of becoming aware of such inaccuracies, mistakes or errors;
3. that you have obtained permission from your employer, clients, or any other third parties to share information about them in your personal profile (if applicable);
4. to indemnify us and keep us at all times fully indemnified from and against all actions, proceedings, claims, demands, costs (including without prejudice to the generality of this provision reasonable legal costs), awards, damages however arising directly or indirectly as a result of any breach or non-performance by you of any of your undertakings, warranties or obligations under these Terms;
5. that you have obtained consent from the relevant rightsholders for the use in your profile of their logos, trade names and other intellectual property objects and that such use of intellectual property in the Platform will not infringe the rights of any third party;
In consideration for the Services provided by us to you through the Platform, you hereby assign to us with full title guarantee all the present and future intellectual property rights in your Individual Profile.

Communications from Suits

By accessing the Platform, creating an Account, and/or using the Services, the User automatically consents to receiving our newsletters, marketing materials, and other promotional information that we may send periodically or as needed. However, the User can opt out of receiving any or all of these marketing communications by following the unsubscribe link or instructions included in any email we send. Please be aware that Suits may still send User transactional or administrative messages, as well as legal notices related to the Service, even after the User has opted out of marketing communications.

Interruption or Suspension of the Service

Occasionally, the Services may be unavailable due to maintenance and/or updates to the Platform. Suits endeavours to keep downtime as brief as possible. However, we cannot guarantee that the Services will always be available to the User, and we will not be responsible for any losses or damages, whether pecuniary or non-pecuniary, resulting from interruptions to the User’s use of the Services. Additionally, Suits may modify, suspend, or terminate the availability of any of the Services at any time, without prior notice or liability. Furthermore, Suits may impose restrictions on certain features of the Services or limit the User’s access to parts or all of the Services or Platform without notice or liability.

Prohibited Use

You may not use the Platform for any of the following purposes:
1. in any way which causes, or may cause, damage to the Platform or interferes with any other person's use or enjoyment of the Platform;
2. in any way which is harmful, unlawful, illegal, abusive, harassing, threatening or otherwise objectionable or in breach of any applicable law, regulation, governmental order;
3. making, transmitting or storing electronic copies of Content protected by copyright without the permission of the owner.

Password and Security

When you register on this Platform, you will be asked to create a password, which you should keep confidential and not disclose or share with anyone.
If we have reason to believe that there is or is likely to be any misuse of the Platform or breach of security, we may require you to change your password or suspend your account.

Links to Other Websites

This Platform may contain links to other websites. Unless expressly stated, these sites are not under the control of Suits or our affiliates.
We assume no responsibility for the content of such other websites and disclaim liability for any and all forms of loss or damage arising out of the use of them.
The inclusion of a link to another site on this Platform does not imply any endorsement of the sites themselves or of those in control of them.

Privacy Policy and Cookies Policy

Use of the Platform is also governed by our Privacy Policy and Cookies Policy, which are incorporated into these terms and conditions by this reference. Availability of the Platform

Services are provided "as is" and on an "as available" basis. We give no warranty that the Service will be free of defects and/or faults. To the maximum extent permitted by law, we offer no warranties (express or implied) regarding fitness for a particular purpose, accuracy of information, compatibility, or satisfactory quality. Suits is under no obligation to update information on the Platform.
Whilst Suits uses reasonable endeavours to ensure that the Platform is secure and free of errors, viruses and other malware, we give no warranty or guarantee in that regard, and all Users take responsibility for their own security, that of their personal details and their computers.
Suits accepts no liability for any disruption or non-availability of the Platform.
Suits reserves the right to alter, suspend or discontinue any part (or the whole) of the Platform, including, but not limited to, any products and/or services available. These Terms shall continue to apply to any modified version of the Platform unless it is expressly stated otherwise.

Cancellations and Termination of Services

You can cancel your registration at any time by notifying us in writing at the address provided at the end of these Terms. Cancelling your registration does not entitle you to a refund or any part of the Subscription Fee paid by you upon Onboarding, unless the cancellation occurs within 14 days of the payment of the Subscription Fee.
We may cancel your registration at any time with immediate effect if (1) we suspect that you have breached these Terms and/or (2) we decide, at our own discretion, that providing access to the Services or continuing such access will lead to, or has already resulted in, a violation of any applicable law of any relevant jurisdiction. You will not be entitled to any refund of the Subscription Fee in such a case.
After the cancellation of the Services, your profile will no longer be accessible, and all information provided in your profile will be deleted within 3 days of the cancellation date.

Disclaimer

Suits is not a law firm, and we do not provide legal or any other advice, either directly or indirectly, through the Platform.
By providing access to the Platform and/or the Services, Suits does not offer any financial, tax, accounting, legal, or other professional services, and none of the information on the Platform should be taken as legal, tax, accounting, or any other type of professional advice or service.
Users’ utilisation of any part of the Platform or Services does not create an attorney-client relationship with us. Therefore, although communications between User and Suits are protected by Suits’ Privacy Policy, they are not protected by any attorney-client privilege or attorney work product doctrine.
Suits makes no express or implied warranties or representations regarding the completeness, security, reliability, quality, accuracy, or availability of legal or other advice obtained through the Platform from the Members registered on the Platform, and has no liability to the User concerning the information and data available on the Platform or accessible in connection with the Services. The above does not affect any warranties that cannot be excluded or limited under applicable law.
User’s use of the Services, and any information obtained through the Services, is at User’s own risk. The Services and information provided through the Platform are offered on an “As is” and “As available” basis, without any express or implied warranties of merchantability, fitness for a particular purpose, non-infringement, non-interference, error-free service, uninterrupted service, or any other guarantees.
Suits does not guarantee that the Platform and Services (i) or any payment method will be uninterrupted, error-free, secure, or available at any specific time or location; (ii) will be free of errors or defects, and will be corrected; (iii) are free of viruses or other harmful components; and (iv) will meet the User’s requirements.
If you are using the Platform to find a suitable professional for your matter, you should utilise the search and filter tools built into the Platform. However, it remains your responsibility to make a final decision on the professional for your matter from the shortlisted candidates provided by the Platform, based on the criteria you set during your search. We do not guarantee, warrant, or represent that a candidate will be found who matches the search and filter criteria you have set.
Suits accepts no liability whatsoever for any legal or other advice provided by professionals registered on the Platform. Users of the Platform are solely responsible for ensuring they comply with all relevant regulations concerning the provision of legal and other professional advice, including, but not limited to, KYC requirements, sanctions restrictions, and other applicable laws.

Limitation of Liability

Suits is not an intermediary, advisor, agent, or third-party to the Users regarding any Services, and Suits takes no responsibility for the quality or adequacy of any services performed by a Member, and/or content posted on the Platform by the Members.
In no event will Suits, nor its directors, employees, partners, agents, suppliers, or Affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from: (a) User’s access to, or use of, or inability to access or use, the Services; (b) any conduct or content of a User or any third party on the Service; (c) any content or advice obtained from the Service; and (d) unauthorised access, use, or alteration of User’s transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not Suits has been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed its essential purpose.
Nothing in these terms and conditions will: (a) limit or exclude our or your liability for death or personal injury resulting from our or your negligence, as applicable; (b) limit or exclude our or your liability for fraud or fraudulent misrepresentation; or (c) limit or exclude any of our or your liabilities in any way that is not permitted under applicable law.
We will not be liable to you for any loss or damage of any kind.
We will not be liable to you in respect of any losses arising out of events beyond our reasonable control.
To the maximum extent permitted by law, Suits accepts no liability for any of the following:
1. any business losses, such as loss of profits, income, revenue, anticipated savings, business, contracts, goodwill or commercial opportunities;
2. loss or corruption of any data, database or software;
3. any special, indirect or consequential loss or damage.
Suits’ maximum liability to the User under these Terms is limited to the total amount of the Subscription Fee actually paid by the User to Suits in the twelve-month period before the event that forms the basis of the User’s claim. These limitations apply regardless of the legal basis on which the User’s claim is made.
Suits make no representation or endorsement of the quality and services supplied by companies, firms or individual professionals that may be found on this website.
In no event will Suits be liable for any damages, including, without limitation, indirect or consequential damages, or any damages whatsoever arising from use or loss of use, data, or profits, whether in an action of contract, negligence or other tort action, arising out of or in connection with the use of the Platform.

Extension of the Subscription

Where you purchase a Subscription, the term of the subscription begins from the date you pay the relevant Subscription Fee to us and continues until the end of the applicable subscription period. After the Subscription Term ends, your Subscription will automatically renew without notice, subject to your payment of the Subscription Fee for the new Subscription Term, unless you have opted not to renew the Subscription.

General

You may not transfer any of your rights under these Terms to any other person. We may transfer our rights under these Terms where we reasonably believe your rights will not be affected.
We may update these Terms occasionally. The revised terms will take effect on the Platform from the date they are published. Users should regularly review the terms and conditions to stay familiar with the current version.
These Terms, together with the Privacy Policy and Cookies Policy, contain the whole agreement between the parties relating to its subject matter and supersede all prior discussions, arrangements or agreements that might have taken place in relation to the terms and conditions.
The Contracts (Rights of Third Parties) Act 1999 shall not apply to these terms and conditions, and no third party will have any right to enforce or rely on any provision of these terms and conditions.
Any terms or conditions purported to be incorporated or implied under the United Nations Convention on Contracts for the International Sale of Goods, UNCITRAL rules or other provisions of international, supranational, national, federal, state or local law are hereby excluded to the fullest extent legally possible.
If any court or competent authority determines that any provision of these Terms (or part of any provision) is invalid, illegal or unenforceable, that provision or part will, to the extent necessary, be deemed deleted, and the validity and enforceability of the remaining provisions of the Terms will not be affected.
Unless otherwise agreed, no delay, act or omission by a party in exercising any right or remedy will be deemed a waiver of that, or any other, right or remedy.
This Agreement shall be governed by and interpreted according to the law of England and Wales. All disputes arising under the Agreement (including non-contractual disputes or claims) shall be subject to the exclusive jurisdiction of the English and Welsh courts.
